These Terms of Service (the "Terms") are a binding agreement between detumble.ai LLC, a limited liability company registered in the Arab Republic of Egypt ("detumble", "we", "us", "our") and you, the person or organisation using the Service ("you", "Customer"). By creating an account, clicking to accept, or using the Service, you agree to these Terms, the Privacy Policy, the Fees, Credits and Refunds Policy, the Acceptable Use Policy, the AI Outputs and Responsibility Disclosure and the Cookie Policy, each of which is incorporated by reference. If you enter into a separate written agreement with detumble (an "Enterprise Agreement"), that agreement prevails over these Terms where the two conflict.
Plain-English summaries appear at the start of some sections. They are there to help you read; the full text of each section is what binds us both.
1. Definitions
1.1 "Service" means the detumble web application, application programming interface ("API"), MCP endpoints, command-line and chat interfaces at detumble.ai and its subdomains, together with the underlying software, engines, models, prompts, packs, documentation and infrastructure that we operate to provide them.
1.2 "Customer Content" means everything you upload to or create in the Service that originates with you: drawing sets (DWG, DXF, PDF and similar files, alone or in zip archives), schedules, specifications, notes, chat messages, corrections, acceptances and rejections at review gates, and any other data you or your Users submit.
1.3 "Outputs" means the results the Service computes from Customer Content at your request: project briefs, awareness and profile files, 3D structural models (including IFC and DXF exports and Revit handoff files), material take-offs and bills of quantities, knowledge graphs, queries and requests for information (RFIs), reports, and any intermediate file, table, figure or number produced along the way.
1.4 "Platform Materials" means everything that is ours: the Service, the deterministic engine and its stages, the reading layer, the skills, prompts, system instructions, packs, rule libraries, ontologies, estimators, evaluation suites, cassettes and fixtures that contain no Customer Content, the user interface, documentation, trademarks, and all improvements, modifications and derivative works of any of them.
1.5 "Credits" means the prepaid units of account used to meter the Service, as described in Section 8 and the Fees, Credits and Refunds Policy. Credits are sold in the plans and packs at the prices shown on the pricing page.
1.6 "Run" means a unit of metered work: a reading of a drawing set, a chat turn, a feature command such as a take-off or a 3D build, or any other operation for which the Service shows a quote before it starts.
1.7 "Review Gate" means a point in a Run where the Service pauses and shows you evidence so that a human can accept, correct or reject items before the Run continues or an Output is released.
1.8 "Project" means a workspace in the Service that holds one drawing set and everything derived from it. Each Project is isolated from every other Project in our database, our storage and our graph store.
1.9 "User" means any individual who accesses the Service through your account, including members of a team account on an Enterprise plan.
1.10 "Engineer of Record" means the licensed professional (or firm) who is legally responsible for the design, quantities and construction decisions on your project under the law and practice that applies to it.
1.11 "Consumer" means an individual who uses the Service for purposes wholly or mainly outside their trade, business, craft or profession, to the extent the law of their country of residence gives that person non-waivable rights.
2. The Service and how it works
2.1 What the Service does. The Service is the structural discipline of construction, from drawings to quantities. You upload a structural drawing set (reinforced concrete and steel, foundations to roof) to a Project. The Service reads it using a combination of large language models (currently supplied by Anthropic through its API) and deterministic software we have written, and produces Outputs at your request: a project brief, a 3D structural model, a material take-off and bill of quantities, a knowledge graph and RFIs. Between steps, the Service stops at Review Gates so that you can check the evidence behind each result.
2.2 Human in the loop. The Service is designed so that no Output advances to the next stage, and no Output is presented as final, without an explicit acceptance by a human on your side. Every quantity, every element and every recommendation carries a pointer to the drawing sheet, layer, entity or note it was derived from. You agree to use these Review Gates as intended: acceptance at a gate is your professional judgement, not ours.
2.3 Outputs are computed estimates. Outputs are produced by automated systems from drawings that may be incomplete, inconsistent or ambiguous. They are estimates and drafts for professional review. They are not engineering, architectural, surveying, legal, tax or financial advice, and they are not a certified deliverable of any kind unless an Enterprise Agreement says so in writing. Section 12 and the AI Outputs and Responsibility Disclosure explain this in more detail and form part of these Terms.
2.4 Changes to the Service. We improve the Service continuously and version the engine that produces Outputs. Every Run records the engine version that produced it. We may add, change or withdraw features, models, packs or plans. Where a change materially reduces functionality that you have paid for in the current billing period, we will tell you in advance where practicable and Section 17 (Changes) applies.
2.5 Beta and preview features. We may offer features labelled beta, preview, experimental or similar. They may be changed or withdrawn at any time, may be less reliable than the rest of the Service, and are provided without any warranty in addition to the disclaimers in Section 12. Where a beta feature is metered, the same credit rules apply.
2.6 Third-party services. The Service depends on third-party providers: cloud hosting (Amazon Web Services, EU region eu-north-1, Stockholm), AI models (Anthropic), payments (our payment provider, currently Polar, acting as merchant of record), sign-in (Google, optionally), analytics (Plausible) and DNS (Cloudflare). Their availability affects ours. Where you use an optional third-party feature such as Google sign-in, that provider's terms also apply to your relationship with that provider.
3. Accounts and eligibility
3.1 Creating an account. You need an account to use the Service. You sign in with a magic link sent to your e-mail address or with a Google account. You must give a valid e-mail address that you control and keep it current; we send legal notices, receipts and security messages to it.
3.2 One person per account. A personal account is for one human being. You may not share sign-in links or sessions, and a machine account is only permitted through the API on plans that include it. Team accounts, in which several Users share a wallet and a set of Projects under an organisation, are available on the Enterprise plan; the organisation that opens a team account is the Customer and is responsible for every User it admits.
3.3 Eligibility. You must be at least 18 years old, or the age of majority where you live if that is higher. If you use the Service on behalf of a company, firm or other organisation, you represent that you have authority to bind it, and "you" means that organisation. You may not use the Service if you are barred from doing so under the laws of Egypt, the country where you live, or the export and sanctions rules described in Section 15.
3.4 Account security. You are responsible for everything that happens under your account, whether or not you authorised it, until you tell us at support@detumble.ai that your account has been compromised. Keep your e-mail account and any Google account secure; a magic link is as good as a password. We will never ask you for a password, and we do not store one.
3.5 Account information and roles. Within a Project you may invite others in defined roles (for example owner, reviewer, viewer). A person who is not a member of a Project cannot see that it exists. You are responsible for the roles you assign.
3.6 Founder console and support access. Our staff can see operational metadata about your account and Runs (counts, timings, credits, error classes, engine version) in an internal console. We do not open your Customer Content or Outputs unless you ask us to for support, we need to in order to investigate a security incident, an abuse report or a billing dispute, or the law requires it. Any such access is logged.
4. Your content: ownership and the licence you give us
Summary: your drawings and your results are yours. We get only the permission we need to run the Service for you, and nothing else.
4.1 You own Customer Content. As between you and detumble, you own all right, title and interest in Customer Content. We do not claim any ownership of it.
4.2 You own Outputs. As between you and detumble, you own the Outputs the Service produces from your Customer Content, subject to Section 5 (our Platform Materials embedded in the tooling remain ours, and the same generic structures, rules and formats may appear in Outputs produced for other customers). We assign to you any copyright we may hold in Outputs to the extent needed to give effect to this Section, and to the extent that assignment is not possible under applicable law we grant you a perpetual, irrevocable, worldwide, royalty-free licence to use Outputs for any purpose.
4.3 Licence to detumble. You grant detumble and its subprocessors a worldwide, non-exclusive, royalty-free licence, for the term of your account and any retention period described in the Privacy Policy, to host, store, copy, transmit, parse, render, index, analyse and process Customer Content and Outputs, and to send Customer Content and Outputs, in whole or in extracted form, to the AI models and other subprocessors we use, solely (a) to provide, maintain, secure and support the Service for you; (b) to enforce these Terms and investigate suspected abuse; (c) to comply with the law; and (d) as you otherwise instruct or permit in writing. This licence ends when the content is deleted from our systems, except that copies in backups are deleted on the backup schedule described in the Privacy Policy.
4.4 Your warranties about Customer Content. You represent and warrant that (a) you own or have all licences, consents and rights needed to upload the Customer Content and to grant the licence in Section 4.3, including from the architect, engineer, client or other rights-holder in the drawings; (b) Customer Content does not infringe any third party's intellectual property, confidentiality or privacy rights; (c) Customer Content is not subject to a confidentiality, security-classification or export restriction that prohibits its processing by us or by our subprocessors in the locations described in the Privacy Policy; and (d) you have given any notices and obtained any consents required by data protection law from the individuals whose personal data appears in Customer Content (for example, names of engineers on title blocks).
4.5 Removal. We may remove or disable access to Customer Content or Outputs that we reasonably believe breach these Terms, the Acceptable Use Policy or the law. Where the law permits, we will tell you and give you the chance to respond.
4.6 Moral rights. To the extent permitted by law, you waive, or agree not to assert against us or our subprocessors, any moral rights in Customer Content to the extent needed for us to process it as licensed in Section 4.3.
5. Our platform: intellectual property that stays with detumble
Summary: the engine, the reading layer, the prompts, the packs, the estimators and every improvement to them are ours. You get a right to use the Service, not the Service itself.
5.1 Ownership of Platform Materials. detumble and its licensors own all right, title and interest, including all intellectual property rights, in the Platform Materials. Nothing in these Terms transfers any of that to you. Except for the limited right to use the Service in Section 6, all rights are reserved.
5.2 Improvements. Any modification, improvement, derivative work or new version of the Platform Materials, whether created by us, by you, by your Users, by feedback from you, or in the course of providing the Service to you, belongs to detumble. To the extent that you or your Users acquire any right in such an improvement, you hereby assign it to detumble and agree to sign any document reasonably needed to confirm the assignment. This Section does not give us any rights in your Customer Content or Outputs, and it does not cover deliverables that an Enterprise Agreement expressly assigns to you.
5.3 Rules, structures and know-how. The Service works by applying rule files, ontologies, element checklists, section libraries, cover and lap tables and other structured knowledge to your drawings. Those structures, and the way the Service names, orders, formats and cross-references things, are Platform Materials even when they appear inside an Output. You own the Output; you do not own the template.
5.4 Aggregated and de-identified data. You agree that we may collect and use data about how the Service is used, including counts, timings, error classes, engine findings, gate decisions, credit consumption, model and tool usage, and statistical properties of Runs, provided that such data is aggregated or de-identified so that it does not identify you, your Users, your clients, your projects, or the geometry, quantities or text of any Customer Content or Output, and we may use it for any lawful purpose, including to operate, improve, benchmark and market the Service, during and after the term.
5.5 No AI training on Customer Content without consent. We will not use Customer Content or Outputs to train, fine-tune, or otherwise improve any machine learning or AI model, whether ours or a third party's, except with your prior, specific, written consent that describes the data, the purpose and the retention period, and that you may withdraw for future use at any time. Our AI provider's commercial terms prohibit it from training on data we send through its API. Corrections you make at Review Gates are Customer Content and are covered by this Section; de-identified statistics about corrections (for example, how often a class of element is corrected) are covered by Section 5.4.
5.6 Feedback. If you send us ideas, suggestions, bug reports, feature requests or other feedback about the Service ("Feedback"), you grant detumble a perpetual, irrevocable, worldwide, royalty-free, sub-licensable licence to use, copy, modify, publish and commercialise the Feedback without restriction and without attribution or compensation. Feedback does not include Customer Content or Outputs, and we will not use Feedback in any way that identifies you without your permission.
5.7 Trademarks. "detumble", the detumble logo and our product names are our trademarks. You may not use them without our written permission, except to state truthfully that you use the Service.
5.8 Open-source and third-party components. The Service includes open-source components licensed under their own terms, which are listed in our documentation. Those terms apply to those components and do not give you any rights in the rest of the Platform Materials.
5.9 Attempts to extract the engine are a material breach. The Platform Materials include the prompts, system instructions, skills, scripts, tools, packs, rule files, layer order and internal reasoning that the Service and its models use ("Engine Internals"). Any attempt, by any means and whether or not it succeeds, to obtain, reveal, reconstruct or describe Engine Internals, including by prompting, questioning, role-play, "audit" or "compliance" framings, encoded or split requests, instructions placed inside uploaded drawings, documents or review answers, or any other form of prompt injection or jailbreaking, is a material breach of these Terms that cannot be cured. On such a breach: (a) we may terminate the account immediately without refund of subscription fees or Credits (section 16.3(b)); (b) you are liable to us for all resulting loss, including the reasonable costs of detecting, investigating and responding to the attempt and of enforcing our rights, and any loss of value in the Platform Materials; (c) you will indemnify us under section 14.1 for any use by you or a third party of anything so obtained; (d) any material so obtained remains our confidential information and property, may not be used, kept or disclosed, and must be destroyed on request; and (e) the limitation of liability in section 13 does not protect you in respect of this breach. The Service reviews prompts and outputs automatically for such attempts and keeps logs of them (Acceptable Use Policy section 12.6); those logs may be used as evidence.
6. Your right to use the Service and the things you may not do
6.1 Licence to you. Subject to these Terms and payment of the applicable fees, detumble grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the term for your internal business purposes (or, for a Consumer, for your personal purposes), in accordance with the documentation and the plan you have purchased.
6.2 Restrictions. Except to the extent a restriction is prohibited by applicable law, you must not, and must not permit any User or third party to:
(a) copy, modify, translate, adapt or create derivative works of the Platform Materials;
(b) reverse engineer, decompile, disassemble, decode or otherwise attempt to derive the source code, architecture, prompts, system instructions, rule files, packs, weights, estimators or algorithms of the Service, including by prompting the Service or its models to reveal them;
(c) use the Service, or any Output, to build, train, benchmark or improve a product or service that competes with the Service, or to build a data set for training a machine learning model;
(d) sell, resell, rent, lease, lend, sublicense, time-share, or otherwise make the Service available to any third party, except to your own clients as part of your professional services where the Output, not access to the Service, is what you deliver;
(e) access the Service by any means other than the interfaces we document, scrape it, or use bots, crawlers or automation other than the API on a plan that includes it;
(f) circumvent, disable or interfere with any quota, spend cap, rate limit, Review Gate, security feature, isolation boundary or metering mechanism;
(g) probe, scan or test the vulnerability of the Service or breach any security or authentication measure without our prior written permission;
(h) upload malicious code, or content that infringes a third party's rights, or content that you are not entitled to upload;
(i) use the Service to store or process data that is subject to a legal regime that we have not agreed in writing to support (for example, classified defence information or health records), or to store data that is not needed to produce Outputs for your project;
(j) remove, obscure or alter any proprietary notice, evidence pointer, version stamp, disclaimer or watermark that the Service places on an Output;
(k) misrepresent an Output as having been reviewed, verified, certified or sealed when it has not been, or represent detumble as the author, engineer, surveyor or quantity surveyor of record; or
(l) use the Service in breach of the Acceptable Use Policy or any applicable law.
6.3 API and MCP terms. Where your plan includes API or MCP access, you may build integrations for your own use. You must keep API keys confidential, must not exceed documented rate limits, must not use the API to circumvent per-run or per-account caps, and are responsible for everything your integration does. We may change the API with reasonable notice, and we may throttle or suspend API access that harms the Service or other customers. Contract versions of the API are diffed and documented; we keep the previous version available for a reasonable period after a breaking change.
6.4 Usage limits. Each plan carries limits: the commands it unlocks, the size and number of drawing sets, concurrent Runs, a per-run credit cap, an account-level spend cap (and a monthly limit you may set yourself) and a company-wide daily cap that protects all customers. Limits are shown in the Service or on the pricing page. We may enforce them technically.
7. Acceptable use
Your use of the Service must comply with the Acceptable Use Policy, which is part of these Terms. It sets out what you may not upload, what you may not ask the Service to do, how we handle reports, and what we do when the Policy is broken. In short: no unlawful content, no content you have no right to use, no attacks on the Service or other customers, no evasion of caps or gates, no uses that our AI provider's usage policy prohibits, and no use of Outputs in a way that endangers people by skipping professional review.
8. Credits, quotes and metering
Summary: the Service is prepaid and counted in Credits. Every paid Run shows you a quote in Credits before it starts. Approving it reserves the quoted Credits; when the Run ends you are charged what it actually used and the rest goes straight back to your wallet.
8.1 Credits are the unit. The Service is metered in Credits. Packs and plans sell Credits at the prices shown on the pricing page: a pack names its Credits and its price, and a plan's monthly price buys the monthly Credits shown there. Credits live in a wallet attached to your account (or your team account). Credits are a prepaid unit of account for the Service only: they are not money, a deposit, stored value, a security, or legal tender; they carry no interest; they cannot be transferred between accounts, sold or exchanged; and they are not redeemable for cash except where the Fees, Credits and Refunds Policy or mandatory law says otherwise.
8.2 Three buckets. Your wallet has a monthly bucket (credits granted by your plan, which expire at the end of the billing period), a top-up bucket (credits from packs, which never expire while your account is open) and, on plans that offer the Deepest reading without a hard maximum, a debt bucket that may briefly go negative when such a Run uses more than its estimate. Monthly credits are spent first, then top-up credits. A negative debt bucket blocks new paid work until it is cleared by the next grant or purchase.
8.3 Quote before spend. Before any paid Run starts, the Service shows a quote in Credits, worked out from the size of the drawing set (its sheets and drawing elements, counted free of charge when you upload it). Until a set has been counted, the quote says it is provisional. Nothing is reserved or charged until you approve the quote. If your wallet cannot cover it, the Run does not start and the Service tells you so. If the work turns out bigger than the quote, the Run stops and asks before it uses more Credits.
8.4 Reserve, meter, settle, release. When you approve a quote, the Service reserves the quoted Credits against your wallet. During the Run it counts the Credits the work uses. When the Run ends, the Service settles the amount actually used and releases the remainder of the reservation immediately. A Run that fails, is cancelled before producing Output, is rejected by the system, or is orphaned by an infrastructure fault releases its whole reservation and is never charged. A Run you cancel after it has produced partial Output settles the work done up to the cancellation and releases the rest. One exception to the first rule: when understanding the whole building stops because the drawings cannot make a building record AFTER you accepted its reading, you keep that reading and pay only for the work it used; everything after it is released (the same rule as a Run you reject at a review gate). Every reservation, settlement and release is written to a ledger you can inspect and download from your account.
8.5 What things cost. Every Run that uses an AI model (a reading, a take-off, a 3D build, a revision, RFIs and similar commands) is charged the Credits the work uses, within the quote you approved; there are no fixed-price Runs. Steps that use no AI model (a bill of quantities mapped from an accepted take-off, a revision comparison, an estimate) are free. Chat is prepaid in blocks of Credits: when your chat allowance is empty, the next block is taken from your wallet as one line on your statement and each answer draws its Credits from it; a question that gets no answer draws nothing. E-mail notices for long Runs are an option you can switch on in your account: while it is on, each Run that uses an AI model carries a small number of Credits for its notices, shown on its quote, charged once the Run starts and returned if it never starts or fails. Every quote shows its price in Credits before you approve it. Reading an existing ingestion or awareness file that is already in the Project is free; re-running a command that produces new work is charged again at the quoted rate.
8.6 Caps. Every Run has a per-run credit cap. Every account has a spend cap. The whole Service has a daily cap and a kill switch that we can use to stop all paid work if we detect a fault or an attack. If a Run uses all the Credits reserved for it, it pauses and asks you to add Credits or to stop it and keep what is done; stopping it, or leaving that question unanswered for 14 days, settles the work it had done, never more than the reservation, and releases the rest. The daily cap and the kill switch stop new paid work from starting while they apply: a Run they keep from starting reserves nothing and is never charged.
8.7 Accounts without a plan. An account without a plan can open the finished example project. Runs on your own drawings, chat and Credit packs start with a paid plan. Credits an account received before 13 October 2026 (a starter grant, or a pack bought without a plan) keep their value and follow the same rules as other Credits; starter Credits have no cash value and may be withdrawn if unused for an extended period.
8.8 Accuracy of metering. Our ledger is the record of what was reserved, metered, settled and released. If you believe a charge is wrong, follow the dispute process in the Fees, Credits and Refunds Policy within 30 days of the Run. We will investigate and correct genuine errors by re-crediting or refunding, at your choice.
9. Plans, payment, taxes and renewal
9.1 Plans and packs. We currently offer the Solo, Studio and Tender subscriptions, credit packs (bought on top of a paid plan), and an Enterprise plan under a separate agreement. Every paid plan includes every command; plans differ in the Credits they grant each month. Plan prices, plan contents, monthly Credit grants and pack sizes are published on the pricing page and may change under Section 17.
9.2 Payment provider and merchant of record. Payments are collected by our payment provider (currently Polar Software, Inc., acting as merchant of record and reseller of the Service) or by another merchant of record we designate. When you buy a plan or a pack, the purchase contract for that transaction is with the merchant of record under its buyer terms, and your right to use the Service comes from these Terms. The merchant of record calculates, collects and remits applicable VAT, GST and sales taxes based on your billing country and tax status. detumble never receives or stores your full card number.
9.3 Prices and currency. Prices are stated in United States dollars unless the checkout shows otherwise. Your bank or card issuer may apply conversion fees. Prices exclude taxes unless the checkout says they are included.
9.4 Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price for your plan until you cancel. Each renewal grants the plan's monthly Credits and expires any unused monthly Credits from the previous period. You may cancel at any time from your account page; cancellation takes effect at the end of the paid period and you keep access and your remaining monthly Credits until then. Top-up Credits remain in your wallet after cancellation for as long as your account stays open.
9.5 Upgrades and downgrades. When you upgrade mid-period, the new plan starts immediately and the merchant of record charges the difference, prorated, unless the checkout shows otherwise. When you downgrade, the change takes effect at the next renewal.
9.6 Failed payments. If a renewal payment fails, we will notify you and retry. If it keeps failing, your plan ends at the end of the paid period; your Projects and top-up Credits remain, and new Runs and chat on your own drawings wait until a plan is active again.
9.7 Price changes. We may change plan prices, Credit grants, pack sizes and the Credit prices of Runs. Changes to a subscription price take effect at the first renewal at least 30 days after we notify you by e-mail. Changes to the cost of Runs are visible in every quote before you approve it.
9.8 Refunds. Refunds are governed by the Fees, Credits and Refunds Policy, which forms part of these Terms and preserves any non-waivable rights you have as a Consumer.
9.9 Enterprise plans. Enterprise customers are invoiced under their Enterprise Agreement, are metered but not gated by Credits unless the agreement says otherwise, and receive monthly statements.
10. Privacy and data protection
10.1 Privacy Policy. Our Privacy Policy explains what personal data we collect, why, how long we keep it, who we share it with, where it is stored and what your rights are. It applies to account data, usage data and personal data inside Customer Content.
10.2 Roles. For account, billing and usage data we are the controller. For personal data contained in Customer Content and Outputs, you are the controller (or a processor acting for your client) and we are your processor, acting only on your documented instructions, which are these Terms and the settings you choose in the Service. The Data Processing Addendum governs that processing and is incorporated for every Customer to whom the GDPR, the UK GDPR, Egypt's Personal Data Protection Law No. 151 of 2020 or a similar law applies.
10.3 Location. Customer Content, Outputs and account data are stored in the European Union (Amazon Web Services, region eu-north-1, Stockholm, Sweden), with backups in the same region. AI processing sends the text and geometry extracted from your drawings, and your chat messages, to our AI provider's API, which processes them in the locations described in the Privacy Policy and the Data Processing Addendum.
10.4 Security. We protect Customer Content with encryption in transit and at rest, per-Project isolation in the database, in object storage and in the graph store, least-privilege access for our staff, logged support access, an egress guard on every engine Run, and the caps described in Section 8. The Data Processing Addendum lists our technical and organisational measures.
10.5 Breach notification. If we become aware of a personal data breach affecting your data, we will notify you without undue delay and in any event within the periods required by applicable law (72 hours to the competent authority under the GDPR and under Egypt's Law No. 151 of 2020), with the information we have at the time and updates as we learn more.
11. Confidentiality
11.1 Our obligation. We treat Customer Content and Outputs as your confidential information. We will not disclose them to anyone except our subprocessors under written confidentiality and data-processing terms, our professional advisers under a duty of confidence, and authorities where the law requires it. Where the law allows, we will tell you before we disclose your data to an authority and give you the chance to object.
11.2 Your obligation. You must keep confidential any non-public information about the Service that we mark as confidential or that a reasonable person would understand to be confidential, including beta features, security details, pricing offered to you privately, and the content of any Enterprise Agreement.
11.3 Exceptions. Neither party's obligation applies to information that is or becomes public through no fault of the receiving party, that the receiving party already lawfully had, that it receives from a third party without restriction, or that it develops independently without using the other party's information.
12. Outputs, warranties and disclaimers
Summary: we work hard to make Outputs accurate and to show you the evidence, but the Service is provided as is. Outputs are estimates. Check them. Your engineer stays responsible.
12.1 Our limited commitment. We will provide the Service with reasonable skill and care, substantially as described in the documentation, and we will keep the Review Gates, the evidence pointers, the per-run caps and the ledger in place. That is the whole of our commitment.
12.2 Outputs require professional verification. You acknowledge and agree that:
(a) Outputs are produced by automated systems that can be wrong, incomplete, inconsistent or misleading, in ways that may not be obvious. Drawing sets themselves often contain conflicts, missing sheets, out-of-date revisions, ambiguous layers and notes, and Outputs inherit those defects;
(b) Outputs are not engineering, architectural, quantity-surveying, legal, tax or financial advice; they are not a design, a certification, a seal, a stamp, a tender submission, a contract sum, a building-permit document or a construction instruction; and they must not be presented to any client, authority, contractor or supplier as any of those things;
(c) you must have every Output reviewed by a qualified professional before relying on it for any purpose, including bidding, contracting, ordering materials, scheduling, valuing, certifying or building, and you must check Outputs against the drawings, the specifications, the site and the applicable codes and standards;
(d) your Engineer of Record and your other licensed professionals remain solely responsible for the design, the quantities and the construction decisions on your project, whether or not they used the Service, and nothing in the Service transfers any of that responsibility to detumble; and
(e) acceptance at a Review Gate, a green verification gate, an assurance report or any other status the Service displays reflects what our automated checks found, not a professional opinion, and does not mean an Output is correct, complete or fit for any purpose.
12.3 Disclaimer of warranties. Except as expressly stated in Section 12.1 and to the fullest extent permitted by applicable law, the Service and all Outputs are provided "as is" and "as available", and detumble and its licensors and subprocessors disclaim all warranties, conditions and representations, express, implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, completeness or quiet enjoyment, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, that any Output will be accurate or reliable, or that the Service will meet your requirements or any code, standard or regulation.
12.4 No service levels. Unless an Enterprise Agreement says otherwise, we offer no uptime commitment and no service credits. We may take the Service offline for maintenance and will try to give notice for planned maintenance.
12.5 Consumers. If you are a Consumer, nothing in this Section 12 limits any warranty or right that the law of your country gives you and that cannot be excluded by agreement.
13. Limitation of liability
13.1 Exclusion of certain losses. To the fullest extent permitted by law, in no event will detumble, its founders, officers, employees, contractors, licensors or subprocessors be liable to you or anyone claiming through you, under any theory of liability (contract, tort including negligence, breach of statutory duty, misrepresentation, strict liability or otherwise), for:
(a) any indirect, incidental, special, consequential, exemplary or punitive loss or damage;
(b) any loss of profit, revenue, business, contracts, goodwill, anticipated savings or opportunity;
(c) any cost overrun, over-ordering or under-ordering of materials, delay, rework, defect, structural failure, claim by a client, contractor, supplier or authority, or any other loss arising from reliance on an Output, from a Run that failed or was cancelled, or from a decision made or not made at a Review Gate;
(d) any loss or corruption of data or Customer Content, except where caused by our breach of Section 10.4 and not recoverable from a backup we were required to keep; or
(e) any loss caused by a third-party service outside our reasonable control,
in each case whether or not foreseeable and whether or not we were advised of the possibility.
13.2 Cap. To the fullest extent permitted by law, the total aggregate liability of detumble and the persons listed in Section 13.1, arising out of or relating to these Terms or the Service, in any twelve-month period, will not exceed the greater of (a) the amounts you paid to detumble or its merchant of record for the Service in the twelve months immediately before the event giving rise to the claim, and (b) USD 100.
13.3 What is not limited. Nothing in these Terms excludes or limits either party's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct where the law does not permit those to be limited, for your payment obligations, for your breach of Sections 4.4, 6.2 or 7, or for any liability that cannot be excluded or limited under applicable law, including the non-waivable rights of Consumers.
13.4 Basis of the bargain. You agree that the fees reflect this allocation of risk, that the Review Gates and evidence pointers are provided so that you can catch errors before they cause loss, and that we would not be able to offer the Service at these prices without Sections 12 and 13.
13.5 Time limit. To the extent permitted by law, any claim arising out of the Service must be brought within one year after the cause of action accrues.
14. Indemnities
14.1 By you. You will defend, indemnify and hold harmless detumble, its founders, officers, employees, contractors and subprocessors from and against any claim, demand, proceeding, loss, damage, liability, cost and expense (including reasonable legal fees) arising out of or relating to: (a) Customer Content, including any claim that it infringes or misappropriates a third party's rights or was uploaded without authority; (b) your or your Users' use of the Service or of any Output, including any claim by your client, contractor, supplier, insurer, authority or Engineer of Record arising from reliance on an Output; (c) your breach of these Terms, the Acceptable Use Policy or applicable law; (d) any dispute between you and a User or a third party; or (e) any attempt to extract, reveal or describe Engine Internals (section 5.9) and any use or disclosure by you or a third party of anything obtained through it.
14.2 By detumble. We will defend you against any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes that third party's copyright or trademark, and we will pay the damages finally awarded or agreed in settlement. This obligation does not apply to claims arising from Customer Content, Outputs to the extent they reflect Customer Content, your modifications, your combination of the Service with other products, your use after we told you to stop, or beta features. If a claim is made or likely, we may procure the right for you to continue using the Service, modify it so that it no longer infringes, or terminate your access and refund unused prepaid fees and unused top-up Credits. This Section states our entire liability for third-party intellectual property claims.
14.3 Procedure. The indemnified party must notify the indemnifying party promptly, give it sole control of the defence and settlement (provided no settlement imposes an obligation on the indemnified party other than payment covered by the indemnity), and provide reasonable cooperation at the indemnifying party's cost.
15. Export control and sanctions
15.1 The Service, its software and the AI models it uses are subject to export control and sanctions laws, including those of Egypt, the European Union, the United Kingdom and the United States (because our hosting and AI providers are United States companies). You represent that you and your Users are not located in, organised under the laws of, or ordinarily resident in a country or territory that is subject to comprehensive sanctions, and are not on any government list of restricted or denied parties, and that you will not use the Service for any purpose prohibited by those laws, including the design or development of weapons or facilities restricted under them.
15.2 You must not upload Customer Content that is controlled technical data under an export regime unless you have confirmed that its processing by us and our subprocessors, in the locations disclosed in the Privacy Policy, is permitted. You are the exporter of record for anything you upload.
15.3 We may suspend or terminate access where continuing would, in our reasonable judgement, breach a sanctions or export rule that applies to us or to a provider we depend on.
16. Suspension and termination
16.1 Your right to end. You may close your account at any time: ask support to close it by writing to support@detumble.ai. Closing your account ends your subscription at the end of the current paid period and starts the deletion timeline in the Privacy Policy.
16.2 Suspension. We may suspend your account, a User, a Project, a Run or API access, in whole or in part, immediately and without prior notice where we reasonably believe that: (a) you have breached Section 6.2, Section 7 or Section 15; (b) your account has been compromised; (c) your use threatens the security, integrity or availability of the Service or of other customers; (d) a payment is overdue or has been reversed; (e) an authority or a provider we depend on requires it; or (f) continuing would expose us to legal liability. We will tell you why as soon as we reasonably can and lift the suspension once the cause is resolved. During a suspension, reserved Credits on interrupted Runs are released and monthly Credits keep expiring on schedule.
16.3 Termination by us. We may terminate these Terms and your account (a) for a material breach that you do not cure within 14 days after we notify you, or immediately for a breach that cannot be cured or that is repeated; (b) immediately for serious misuse, fraud or unlawful conduct; (c) on 30 days' notice if we withdraw the Service or the plan you are on, in which case we will refund unused prepaid subscription fees and unused top-up Credits; or (d) immediately if you become insolvent or cease business. An attempt to extract Engine Internals (section 5.9) is serious misuse under (b) and is not refunded.
16.4 Effect. On termination: your right to use the Service ends; all outstanding fees become due; running Runs are cancelled and their reservations released; you have 30 days to export your Customer Content and Outputs unless we terminated for your breach under 16.3(a) or (b), in which case we may shorten that period where the law allows; after that we delete your data on the schedule in the Privacy Policy; and any Credits are handled as described in the Fees, Credits and Refunds Policy.
16.5 Survival. Sections 1, 4.3 (for the retention period), 4.4, 5, 6.2, 8.8, 9 (for amounts owed), 11, 12, 13, 14, 15, 16.4, 16.5, 18, 19 and 20 survive termination.
17. Changes to these Terms
17.1 We may change these Terms and the policies they incorporate. For material changes we will give you at least 30 days' notice by e-mail to your account address and by a notice in the Service before they take effect, except where a change is required by law or is needed urgently to address security, abuse or a change in a provider we depend on, in which case we will give as much notice as is practicable.
17.2 If you do not agree to a change, you may close your account before the change takes effect; if you close your account for that reason within the notice period we will refund unused prepaid subscription fees for the remainder of the period and any unused top-up Credits. Continuing to use the Service after the effective date means you accept the change.
17.3 We keep dated versions of these Terms and publish a change log so that you can see what changed.
18. Governing law and disputes
Summary: Egyptian law applies. Business customers arbitrate in Cairo; Consumers keep the courts and the laws of their home country where the law gives them that right.
18.1 Governing law. These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes) are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
18.2 Informal resolution first. Before starting any formal proceeding, the party raising the dispute will write to the other (for us: support@detumble.ai) describing the dispute and the remedy sought, and the parties will try in good faith to resolve it within 30 days.
18.3 Arbitration for business customers. If you are not a Consumer, any dispute not resolved under Section 18.2 will be finally settled by arbitration under the Arbitration Rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA) by one arbitrator appointed in accordance with those Rules. The seat of arbitration is Cairo, Egypt; the language is English; the award is final and binding and may be enforced in any court of competent jurisdiction. Either party may seek interim or injunctive relief, or bring a claim to collect undisputed fees, before the competent courts of Cairo.
18.4 Consumers. If you are a Consumer, Section 18.3 does not apply. You may bring proceedings in the courts of Egypt or in the courts of the country where you live, and nothing in these Terms deprives you of the protection of mandatory provisions of the law of that country. If you live in the European Union, the European Commission's online dispute resolution platform is available to you.
18.5 No class actions. To the extent permitted by law, each party may bring claims only in its own capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.
19. Notices and communications
19.1 To you. We send notices to the e-mail address on your account and, for important matters, also in the Service. Notices are effective when sent. You consent to receive contractual notices, receipts and security messages electronically. Marketing e-mail requires your consent and can be stopped at any time.
19.2 To us. Legal notices must be in writing and sent by e-mail to support@detumble.ai, or by post to detumble.ai LLC at its registered address, which is available on request from support@detumble.ai. A notice to us is effective when we acknowledge receipt or, if posted, when delivered.
19.3 Language. These Terms are written in English. If we publish a translation, the English version prevails in case of conflict, except where the law of a Consumer's country requires otherwise.
20. General
20.1 Entire agreement. These Terms, the policies they incorporate and any Enterprise Agreement are the entire agreement between you and detumble about the Service and replace all earlier agreements, proposals and representations, written or oral.
20.2 Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to an affiliate or to a successor in a merger, acquisition or sale of assets, and will notify you if we do.
20.3 Subcontracting. We may use subprocessors and contractors to provide the Service and remain responsible for their performance as set out in the Data Processing Addendum.
20.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of a cloud, AI, payment or DNS provider, natural disaster, war, terrorism, civil unrest, labour dispute, government action, epidemic, or failure of the internet, except that this does not excuse payment obligations.
20.5 Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remain in effect.
20.6 No waiver. A failure or delay to enforce any provision is not a waiver of it.
20.7 Independent contractors. The parties are independent contractors. Nothing creates a partnership, joint venture, agency, fiduciary or employment relationship, and neither party may bind the other.
20.8 Third-party rights. Except for the persons indemnified under Section 14 and the persons protected under Section 13, no third party has any right to enforce these Terms.
20.9 Headings and summaries. Headings and the italic summaries are for convenience only and do not affect interpretation.
20.10 Electronic acceptance. You agree that clicking to accept, or using the Service, forms a binding agreement, and that electronic records of that acceptance are admissible.
